Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and MissPrompt ("we," "us," "our"). By accessing or using MissPrompt software, services, or website (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Service Description

MissPrompt provides AI-powered productivity tools delivered as desktop applications, mobile apps (iOS and Android), and a Chrome browser extension. The Service currently includes:

• Dictate — Voice-to-text transcription for documents, messages, and other text inputs
• Meeting — Real-time meeting transcription, summary, and action-item extraction
• Write — AI-assisted writing, editing, and prompt enhancement
• Browser — Prompt enhancement for use inside ChatGPT, Claude, Gemini, and other AI chat interfaces via Chrome extension

Features, pricing, and availability may change. We will provide reasonable notice of significant changes.

3. Accounts and Subscriptions

Account creation. To use the Service you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account and all activity that occurs under it.

Eligibility. You must be at least 13 years old to use the Service. By creating an account, you represent that you meet this requirement.

Subscription plans. MissPrompt offers the following subscription tiers:

• Standard Plan — $9.95/month. Includes Dictate, Meeting, Write, and Browser tools with standard usage limits.
• Professional Plan — $19.95/month. Includes all Standard features plus higher usage limits and priority processing.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account settings.

4. Payment and Billing

All payments are processed by Stripe, our third-party payment processor. By providing a payment method, you authorize us to charge your payment method for all fees incurred under your subscription.

Prices are shown in USD and are exclusive of applicable taxes. MissPrompt reserves the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

Failed payments may result in service interruption. We will make reasonable attempts to notify you before suspending access.

5. Free Trial

New users may be eligible for a 30-day free trial. No payment method is required to start the free trial. At the end of the trial period, you may choose a subscription plan to continue using the Service. If you do not subscribe, your account will revert to a limited or inactive state and your data will be retained for 30 days before deletion.

One free trial per person. Creating multiple accounts to obtain additional free trials is prohibited.

6. Fair Use Policy

MissPrompt's AI processing costs scale with usage. To ensure reliable service for all users, we apply reasonable fair use limits as described in your subscription plan. These limits cover:

• Hours of audio transcription per month (Dictate and Meeting)
• Number of AI enhancement requests per month (Write and Browser)
• Storage for History Sync

Current limits are published in your account settings. We will not suspend your account without notice for exceeding limits — we will notify you and offer options to upgrade or reduce usage.

Note on "Unlimited" plans. Where a subscription plan is described as offering "Unlimited Meeting hours," this means there is no fixed monthly cap applied to normal human use of the Meeting tool. It does not permit automated, programmatic, or non-human usage — such as continuous 24/7 recording pipelines, scripted API calls, or reselling transcription capacity to third parties. Usage that significantly exceeds what a reasonable individual or team would generate through normal business activity may be reviewed and is subject to this Fair Use Policy. We will always notify you before taking any action.

7. Acceptable Use

You agree to use the Service only for lawful purposes. You may not use the Service to:

• Record or transcribe conversations without the knowledge or consent of all parties, where required by applicable law
• Generate, distribute, or store content that is illegal, harmful, defamatory, or violates the rights of others
• Attempt to reverse-engineer, decompile, or extract the source code of MissPrompt software
• Resell, sublicense, or redistribute the Service or access to the Service
• Use automated tools to access the Service in ways that exceed normal human usage patterns
• Circumvent usage limits, billing systems, or security measures
• Impersonate any person or entity or misrepresent your affiliation

Violation of this policy may result in immediate account termination without refund.

Recording consent laws vary by jurisdiction. It is your sole responsibility to comply with all applicable recording consent laws (including one-party and two-party consent rules) when using Dictate or Meeting.

8. Privacy and Data

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Key data commitments:

• Audio and text content processed by AI tools is not stored on MissPrompt servers after processing completes
• Your data is never sold or shared with advertisers
• Your data is never used to train AI models
• AI processing is performed by Groq (audio transcription) and OpenAI (text enhancement) under data processing agreements
• Payment processing is handled entirely by Stripe

9. Refunds and Cancellation

30-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 30 days of your first paid charge. Refund requests after 30 days are evaluated on a case-by-case basis.

Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

MissPrompt does not offer prorated refunds for unused portions of a billing period except within the 30-day guarantee window.

10. Termination

By you. You may delete your account at any time from Settings. Upon deletion, your account data will be permanently removed within 30 days.

By us. We may suspend or terminate your account if you materially breach these Terms, including violating the Acceptable Use Policy. We will provide notice where feasible, except in cases of illegal activity or serious security threats. Upon termination for cause, you will not be entitled to a refund for any unused subscription period.

Provisions that by their nature should survive termination (including Sections 11, 12, and 14) will do so.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." MISSPROMPT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated transcriptions, summaries, or writing enhancements will be accurate or complete
• The Service will meet your specific requirements

AI transcription and writing tools produce outputs that may contain errors. Always review AI-generated content before using it in professional, legal, or critical contexts.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISSPROMPT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MISSPROMPT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the minimum extent permitted by law.

13. Changes to the Service and Terms

We may modify, suspend, or discontinue any aspect of the Service at any time. For material changes to the Service or these Terms, we will provide at least 14 days' notice by email. Your continued use of the Service after the effective date of changes constitutes acceptance.

If you object to any changes, your sole remedy is to cancel your subscription and stop using the Service.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be submitted for informal resolution by contacting us at customerservice@missprompt.ai. If informal resolution fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

If you are a consumer located in the European Union, nothing in these Terms affects your rights under applicable EU consumer protection law.
